Vendor Agreement
Sunday, March 13, 2022. 12:00pm – 3:00pm
THE FOLLOWING IS AGREED TO:
1) SPACES & CHARGES: Exhibitor agrees to provide such space. Participation is governed by the additional agreements and regulations outlined within the terms section of this agreement. Any & all payments are non-refundable.
2) If payment in full or balance due is not received when due, this contract is null and void and space may be made available for sale to others. A service charge of $50.00 will be assessed for all checks returned not paid.
3) Exhibitor agrees to indemnify and hold harmless Posh Banquets & Event Center, their agents, and employees from and against all claims, injuries, damages, or losses including reasonable attorney’s fees arising from all activities of exhibitor pertaining to the show.
4) Completion of web form represent acknowledgment of all agreements and regulations in this agreement.
Exhibitor’s Rules & Regulations

Rules and regulations governing the show have been briefly written to advise exhibitors of their rights, restrictions and requirements. Any changes to the rules and regulations must be made in written form prior to the opening of the show.
1. No special signs, partitions, apparatus, shelving, etc., may extend more than 8’ above the floor in a booth without the permission of Show Management. No pins, tacks, or tape on drapes, walls, posts, floors, etc. are permitted.
2. No nails or screws may be driven into the floor or walls. No damage of any nature may be done to the booth structures or to any part of the building. Exhibitors will be held responsible for damages.
3. All aisles must be kept clear of exhibits, interviews, demonstrations, distributions, etc. must be made inside of the exhibitor’s space. No canvassing, solicitation of business or conference in the interest of business, except by exhibiting firms is allowed. All structural work, such as extra shelving, standards, display racks, etc., must meet the approval of show management. All materials used must be fire resistant. Crepe is absolutely forbidden, even if fire resistant.
4. Subletting of space is prohibited. Two or more firms may not exhibit in a single space unless approved by show management. No sharing of booths by two different vendor businesses.
5. No outside food allowed on the show floor without Show Management approval.
6. Exhibitor sales of food and beverages for consumption in the building shall not be permitted.
7. Many promotional items may be used in your display area--yardsticks, key chains, pencils, helium balloons, food, etc., may be given out.
8. The Show Management reserves the right to refuse space, which would in any way detract from the dignity or the theme of the show.
9. The exhibitor must supply all labor necessary in setting-up or removing exhibits.
10. All exhibits must remain intact until the close of the show, which ends at 3pm.
11. The decision of the Show Management must be accepted as final in any disagreement between exhibitors or in the decision to remove from the show any exhibitor or his representative performing any act or practice, which in the opinion of the management, is objectionable. All payments are non-refundable.
12. All matters not covered in these conditions are subject to the decision of show management. All exhibitors are to recognize that the show management is to be held harmless for any act of nature, natural occurrence, or abnormality and for all activities within the exhibitor’s booth and acts performed by exhibitor and/or his representatives.
13. Show Management can remove exhibitors causing smoke or offensive odors.
14. The Show and Building Management will take all responsible precautions against damage or loss by fire, storm, strikes and other damages, but do not guarantee or insure the exhibitors against loss.
15. Failure to comply with these rules will result in the closing down of the booth and forfeiture of any and all funds previously paid to show management by this exhibitor.
16. All rules and regulations are subject to the discretion of Show Management and any decision by Show Management shall be termed final.
17. Any exhibitor displaying a product or product line that is not listed on the front of the contract will be removed from the show immediately and not allowed a refund of monies paid.
SPECIAL FLOOR GUIDELINES
Any damage to the floor is the Exhibitor’s responsibility. Repairs are costly with a minimum charge of $500.00+. No displays can be dragged or rotated on floor surface. Brick pavers and other abrasive materials must have plywood under the display. Carpeting required for all heavy displays. Rubber wheels required on all dollies and carts used setup and takedown.
FORCE MAJEURE
The performance of this Agreement is subject to any circumstances making it illegal or impossible to provide or use the Hotel facilities, or making it impossible or inadvisable to travel including acts of God, acts of terrorism, war, government regulations, disaster, strikes, civil disaster, or curtailment of transportation facilities. The Agreement may be terminated only for any one of the above reasons by written notice from either Hotel or Client to the other within ten (10) days of learning the basis for termination.
COVID-19 SAFETY INFORMATION
While participating in events held or sponsored by Posh Hospitality Group, face coverings must be worn at all times to reduce the risks of exposure to COVID-19, except when seated for meal functions. Because COVID-19 is extremely contagious and is spread mainly from person-to-person contact, Posh Hospitality Group cannot guarantee that its participants, volunteers, partners, or others in attendance will not become infected with COVID-19. In light of the ongoing spread of COVID-19, individuals who fall within any of the categories below should not engage in event. By attending the event, you certify that you do not fall into any of the following categories: 1. Individuals who currently or within the past fourteen (14) days have experienced any symptoms associated with COVID-19, which include fever, cough, and shortness of breath among others; 2. Individuals who believe that they may have been exposed to a confirmed or suspected case of COVID-19 or have been diagnosed with COVID-19 and are not yet cleared as non-contagious by state or local public health authorities or the health care team responsible for their treatment.
LIABILITY WAIVER, RELEASE OF CLAIMS AND ASSUMPTION OF THE RISK
As a participant, volunteer, or attendee, I recognize that my participation, involvement and/or attendance is voluntary. By attending, observing or participating in the Activity, I acknowledge and assume all risks and dangers associated with my participation and/or attendance at the Activity. I acknowledge and understand the following:
1. Participation includes possible exposure to and illness from infectious diseases including but not limited to COVID-19;
2. I knowingly and freely assume all such risks related to illness and infectious diseases, such as COVID-19, even if arising from the negligence or fault of the Released Parties;
3. I hereby knowingly assume the risk of injury, harm and loss associated with the Activity, including any injury, harm and loss caused by the negligence, fault or conduct of any kind on the part of the Released Parties (as defined below). Release And Waiver.
I HEREBY RELEASE, WAIVE AND FOREVER DISCHARGE ANY AND ALL LIABILITY, CLAIMS, AND DEMANDS OF WHATEVER KIND OR NATURE AGAINST (A) POSH HOSPITALITY GROUP (B) THE PROPERTY OR SITE OWNER OF THE ACTIVITY, AND (C) ALL PAST, PRESENT AND FUTURE AFFILIATES, SUCCESSORS, ASSIGNS, EMPLOYEES, VOLUNTEERS, VENDORS, PARTNERS, DIRECTORS, AND OFFICERS, OF SUCH ENTITIES (SUBSECTIONS (A) THROUGH (C), COLLECTIVELY, THE “RELEASED PARTIES”), EITHER IN LAW OR IN EQUITY, INCLUDING BUT NOT LIMITED TO DAMAGES OR LOSSES CAUSED BY THE NEGLIGENCE, FAULT OR CONDUCT OF ANY KIND ON THE PART OF THE RELEASED PARTIES. THIS WAIVER AND RELEASE INCLUDES BUT IS NOT LIMITED TO DEATH, BODILY INJURY, ILLNESS, ECONOMIC LOSS OR OUT OF POCKET EXPENSES, OR LOSS OR DAMAGE TO PROPERTY. I UNDERSTAND AND AGREE THIS WAIVER AND RELEASE IS BINDING ON MY HEIRS, ASSIGNEES, NEXT OF KIN AND/OR LEGALLY APPOINTED OR DESIGNATED REPRESENTATIVES AND IS INTENDED TO APPLY TO AND INCLUDE ANY CLAIM(S) THAT MAY HEREINAFTER ACCRUE OR ARISE FROM MY PARTICIPATION IN THE ACTIVITY. I AGREE AND INTEND THAT THIS RELEASE AND WAIVER IS TO BE INTERPRETED TO PROVIDE A FULL RELEASE OF LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW AND WAIVE ANY CLAIM THAT I MAY HAVE. FURTHER, I RELEASE AND FOREVER DISCHARGE THE RELEASED PARTIES FROM ANY CLAIM WHATSOEVER WHICH ARISES OR MAY HEREAFTER ARISE ON ACCOUNT OF ANY FIRST AID, TREATMENT, OR SERVICE RENDERED IN CONNECTION WITH MY PARTICIPATION IN THE ACTIVITY.
